Annexure to Employment Contract, Al Tayer Group LLC

General Policy

This Code of Conduct applies to all full-time, part-time, temporary and permanent employees ("Employees") of Al Tayer Group LLC and its affiliates ("Al Tayer Group") and comprises a set of guiding principles for all.

Al Tayer Group seeks to conduct its business in a responsible and ethical manner and to treat all its employees, contractors and sub-contractors with respect and dignity at all times. We believe that this responsibility should be reflected in the conduct of all Employees. As a set of guiding principles, it also helps to identify potential problems so that we can work to address issues of concern as they arise.

Specifically, Al Tayer Group expects its Employees to adhere to the following standards and practices in the workplace and in all dealings. Adherence to this Code of Conduct shall be considered a condition of your employment. Non-observance may lead to disciplinary action.

Code of Conduct

  1. Confidentiality

To treat all information received in the conduct of an Employee’s work as strictly confidential and not to disclose this information to any third party unless expressly permitted to in writing by an Employee’s authorised line manager or by a more senior manager in the same chain of command or same department.

  1. Ambassadors of Al Tayer Group

Whether inside or outside of office hours, in any dealings with third parties, Employees should always treat themselves as ambassadors for Al Tayer Group and hold themselves to the highest standards of moral probity. Any public comment that portrays Al Tayer Group in a negative light shall be considered to be a breach of this standard. Any criminal activity or public disobedience of any nature whether during or outside office hours, shall be considered by Al Tayer Group to be bringing the Al Tayer Group name into disrepute. More particularly, under no circumstances is an Employee permitted to obtain or attempt to obtain any personal benefit from an Al Tayer Group customer, supplier and/or affiliate.

  1. Conflicting Interests

Employees should disclose any financial or business interest that competes with activities of Al Tayer Group prior to signing their contract of employment. This also extends to interests in businesses with which Al Tayer Group have contracts or are negotiating terms. No competing or connected financial or business interest should be undertaken without prior written approval. If you are in doubt about what constitutes a competing interest”, please consult your line manager in writing. Interests of an Employee’s spouse and immediate relatives shall be taken to be an interest of the relevant Employee.

  1. Full Disclosure

Employees are requested to disclose all matters that come to their attention that may affect the operations of Al Tayer Group, including any personal circumstances that, if it were known, might be considered to affect the decision to employ, promote or allocate responsibility to any Employee, including the disclosing Employee. Any such disclosure will be treated confidentially and sensitively.

  1. Supplier Code of Conduct

In the event an Employee becomes aware of a breach or potential breach by a Supplier of the Suppliers’ Code of Conduct attached hereto, Employees are requested to inform their line manager. We are committed to verifying any such breaches and, where appropriate, taking remedial action which may include the immediate termination of our relationship with such Supplier in order to ensure the highest standards of Al Tayer Group are reflected in its Suppliers.

  1. Equality

Employees must always respect the principle of equality whether with regard to race, colour, gender, nationality, religion, age, maternity or marital status. As part of Al Tayer Group, Employees should always show respect and support for their colleagues.

  1. Fair Dealings

Employees shall always deal with suppliers and other third parties fairly and respectfully.

  1. Anti-Money Laundering, Gifts and Bribes

Al Tayer Group conducts its business in conformity with high ethical standards. It is Al Tayer Group policy to comply with legislation and guidelines designed to combat money laundering activity and the funding of criminal or terrorist activity in the jurisdictions within which we operate. Under no circumstances should any Employee offer or accept any bribe or other facilitating payment. Any gifts offered to Employees that may be intended to facilitate a particular course of action should be politely declined. Any other gift must be disclosed to your line manager.

  1. Feedback

Regular communication between managers and their team is key to our business success. Employees have a right to receive regular assessments of their performance in order to ascertain progress and plan for future development.

  1. Accountability

Employees should consider themselves accountable for all work responsibilities they have undertaken, whether or not delegated to subordinates.

  1. Abuse of Company Property

Employees must protect and respect Al Tayer Group property and assets at all times. Any abuse of treatment of Al Tayer Group assets should be reported immediately.

  1. H.R. Policies

Employees are expected to read and adhere to all H.R. Policies and Guidelines as contained in the H.R. Systems Manual. Updates to all such Policies and Guidelines are posted on Al Tayer Group intranet.

  1. I.T. and Financial Policies

Employees are expected to read and adhere to all applicable Information Technology and Financial Policies and Guidelines. Any updates to such Policies and Guidelines will be notified to Employees or posted on Al Tayer Group intranet.

  1. Updates to Policies

Where any further Policies and/or Guidelines, including updates to existing Policies, are posted on Al Tayer Group intranet or otherwise notified to Employees, Employees are expected to read, adhere to and comply with such Policies and Guidelines.

  1. Drugs and Alcohol

Employees shall not during work hours or at the workplace consume any intoxicating substance. Under no circumstances will drugs or alcohol related incidents be tolerated.

  1. Reliance on This Code

Although comprising an important guide to conduct, this Code shall not be considered to be a commitment that is legally binding on Al Tayer Group.

  1. Al Tayer Group’s Commitment to Employees

Al Tayer Group seeks to adhere to the following guiding principles at all times:

  • To treat all Employees fairly and to not discriminate on grounds of race, colour, gender, nationality, religion, age, maternity or marital status.

  • To always respect the privacy and confidences of Employees unless otherwise required by law or regulation.

  • To listen to Employee complaints, requests and recommendations with an open mind.

  • To adhere to all applicable laws regarding Employee working practices, working hours, holidays and all other matters pertaining to employment.

  • To meet all statutory guidelines on pay and health & safety requirements.

  • To defend and protect Employees against risk because of matters relating to the proper performance of their duties.

  • To create a workplace where Employees feel free to express their opinions in relation to work matters and to raise questions and concerns in a safe and supportive environment without fear of harassment, retribution or retaliation by peers or managers.

  • To recruit, train and promote people based upon their performance and contribution.
